Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 5, 2021, Paul E. Rolls informed the President and Chief Executive Officer of ON Semiconductor Corporation (the “ Corporation ”) of his resignation as Executive Vice President, Sales and Marketing, of the Corporation, effective as of June 4, 2021. The Corporation intends to conduct a search of internal and external candidates to identify Mr. Rolls’ replacement. Mr. Rolls has no disagreements with the Corporation on any matter relating to the Corporation’s operations, policies or practices.
