OMNIA ENTERS AGREEMENT TO ACQUIRE BELT-SCALE (540 km[2] ) LITHIUM EXPLORATION OPPORTUNITY IN JAMES BAY REGION, QUEBEC (CANADA)

Omnia Metals Group Ltd (“ Omnia ” or the “ Company ”) is pleased to announce that it has increased its exposure to the future metals sector by entering into an earn-in agreement pursuant to which the Company has the option to acquire up to a 100% interest in 540 km[2] of granted claims in the James Bay region, Quebec, Canada. The belt-scale land package is considered highly prospective for lithium, gold and base metal mineralisation as defined by the Ministère des Ressources Naturelles et des Forêts (MERN).

PROJECT HIGHLIGHTS

Omnia has the option to earn-in up to a 100% interest of the rights to the Lac des Montagnes Project (the “Project” ), which consists of three highly prospective properties:
Property 1 - Senay Lithium (136 km[2] )
Property 2 - Lac des Montagnes Lithium Central Zone (98 km[2] )
Property 3 - Lac des Montagnes Lithium East Zone (306 km[2] )
The Lac des Montagnes Belt is host to Namaska Lithium’s (TSXV: NMX) world class Wabouchi lithium deposit (36.7Mt @ 1.16% Li2O) which is located 38 km along strike from the Project.
Numerous pegmatite granites, that have been highlighted by MERN for their spodumene hosted lithium potential, are situated within the tenement package.
Recently released mapping and prospectivity analysis over the Project area, completed by MERN, identified a new lithodemic unit termed the “Spodumene Suite” which comprises white spodumene-muscovite-garnet-tourmaline ± beryl ± apatite ± lepidolite ± petalite pegmatite intrusions that intrude into amphibolitised units of the Lac des Montagnes Group, the focus of Omnia’s acquisition.
Over forty (40) pegmatite granites have been mapped within the Project area, seven (7) of which have been identified by MERN as a high priority and highly prospective for spodumene hosted lithium deposits.
In addition to lithium prospectivity, MERN has identified multiple areas within the Project considered highly prospective for gold, nickel and zinc-lead mineralisation.
Canadian Mining House (“ CMH ” or the “ Vendor ”) secured first-mover advantage in the Lac des Montagnes Belt and have a strong track record of project generation with recent success vending lithium projects into publicly listed companies such as ASX:CY5 and ASX:LLI.

The Lac des Montagnes Project is situated within the rapidly emerging James Bay region, Québec, Canada (Figure 1). Québec is a highly attractive investment destination for lithium exploration and production due to its supportive resource development sector, access to skilled labour and its proximity to high-growth electric vehicle markets in North America and Europe. Additionally, through its recently announced Critical Minerals Strategy, the Canadian government is committed to becoming the global supplier of choice for sustainably and responsibly sourced critical minerals, such as lithium. The Project is well serviced by key infrastructure and is accessed via the all-weather Route du Nord and a network of roads that service the Hydro-Québec power stations in the region. The Project is situated within the Eeyou Istchee, a Québec territory governed by the Cree Nations people.

The Project consists of 1,030 granted mineral claims covering 540 km[2] of the Lac des Montagnes Belt, an Archean aged greenstone belt situated in Canada’s Superior Province (Schedule 2). The Lac des Montagnes Belt has long been recognised as a prospective lithium corridor with the presence of spodumene deposits known in the region since the Quebec geological survey completed mapping work in 1962 (Valiquette, 1963).

The Lac des Montagnes Belt is host to Namaska Lithium’s (TSXV: NMX) world class Wabouchi lithium deposit (36.7Mt @ 1.16% Li2O) which is located 38 km along strike from the Project. Recently, MERN released a new 1:50,000 scale geological map of the Lac des Montagnes region which has defined several new stratigraphic units and sub-units and led to significantly enhanced understanding of the economic geology of the belt (Bandyayera, 2022) (Figure 2). Prospectivity analysis, for a variety of commodities was completed as part of the process with prospective areas for lithium, gold and base metal mineralisation identified (Figures 3 & 4).

A key outcome of the mapping and prospectivity analysis was the identification of a new lithodemic unit termed the “Spodumene Suite”. MERN geologists describe the Spodumene Suite as such: the Spodumene Suite comprises white spodumene-muscovite-garnet-tourmaline ± beryl ± apatite ± lepidolite ± petalite pegmatite intrusions that intrude into amphibolitised rock units of the Lac des Montagnes Group. The edges of these intrusions are generally deformed and sheared, suggesting syn-tectonic to late-tectonic emplacement with an age of 2577 ± 13 Ma (Beland, 2011). The metric to hectometric dykes are generally oriented NE-SW with a steep dip varying from 60° to 80°. Where observed, spodumene is disseminated in the pegmatite with a concentration varying from 2 to 15%, locally reaching 40%. The size of the crystals generally varies from 1 to 10 cm, but can locally reach 55 cm (Bandyayera, 2019).

Over forty (40) occurrences of pegmatite granite have been mapped within the Project area, seven (7) of which have been identified by MERN as the highly prospective Spodumene Suite (Figure 3 & Schedule 3). In addition to lithium prospectivity, MERN has identified multiple areas within the Project considered highly prospective for gold, nickel and zinc-lead mineralisation (Figure 4).

The Company continues to complete a thorough internal geological review of all available data and believes the chance of discovery success in the Lac des Montagnes Project is high for spodumene hosted lithium mineralisation, specifically, as well as gold and base metal mineralisation. Omnia plans to focus initial exploration efforts on the lithium potential of the Project, with the maiden exploration program to focus on mapping and sampling identified pegmatite granites to test for the existence of potential lithium mineralisation. Following systematic testing of the pegmatite granites, any identified mineralisation will be followed up with drill testing in due course. Omnia aims to become a leading explorer for future-facing commodities considered essential to the global energy transition and believes this belt scale exploration opportunity will complement its current belt-scale Ni-Cu exploration assets.

Note: the presence of pegmatite, pegmatite granite or visual spodumene does not equate to lithium mineralisation . The Company plans to undertake field work to test for potential lithium mineralisation and laboratory analysis of rock chip samples is required to determine if the mapped pegmatites and pegmatite granites have the potential to host mineralisation.

Transaction Summary

The Company has entered into a binding agreement ( Earn-In Agreement ) with 9219-8845 Qc. Inc. (dba Canadian Mining House), Anna Giglio and Steve Labranche pursuant to which the Company may acquire up to an 100% interest in the Lac des Montagnes Lithium Project ( Lac des Montagnes Project ) in five earn-in stages.

Pursuant to the Earn-In Agreement, the Company can acquire up to a 100% interest in the Lac des Montagnes Project in the earn-in stages over a 36-month earn-in period as follows:

The Earn-In Agreement is subject to a 60-day option period during which time the Company is entitled to undertake due diligence investigations and enquiries on the Lac des Montagnes Project and elect to exercise its option in accordance with the Earn-In Agreement. A summary of the material terms of the Earn-In Agreement are set out in Schedule 1 of this announcement.

In consideration for facilitating the transaction, the Company has agreed, subject to shareholder approval, to issue GTT Ventures Pty Ltd (GTT Ventures) (or its nominees) that number of shares which represent 10% of the number of Consideration Shares under the Earn-In Agreement, equating to 1,035,000 shares ( Facilitation Shares ). The Facilitation Shares will be issued progressively upon satisfaction of each earn-in stage in accordance with the Earn-In Agreement (subject to shareholder approval).

The Company intends to seek shareholder approval for the issue of the Consideration Shares and Facilitation Shares, among other items, at its upcoming general meeting.

Existing Projects

Omnia reaffirms its commitment to complete the exploration programs on its existing Salt Creek Project and Ord Basin Project, as outlined in the Company’s Prospectus dated 20 January 2022. A 9,000m drilling program is underway at the Salt Creek Project and the Company is continuing to progress towards on-ground exploration at the Ord Basin Project.

Omnia continues to progress its highly prospective Ord Basin Project through extensive approval process in consultation with the local Native Title groups and relevant stakeholders. Schedule 1 - Material terms of the Lac des Montagnes Earn-In

Subject to the terms of the Lac des Montagnes Earn-In, the Company can acquire up to 100% interest in the Lac des Montagnes Project (comprising a number of mining claims located in Quebec, Canada (the Lac des Montagnes Claims)) over a 3 year earn-in period (Lac des Montagnes Earn-In Period) as follows:

1.1 Exercise of Option

(a) The Company has agreed to pay CMH a non-refundable option fee of CAD 50,000 ( Option Fee ) within 14 days of execution of the Earn-In Agreement ( Execution Date ).
(b) Upon payment of the Option Fee, the Company has an exclusive option from the date of execution of the Earn-In Agreement ( Execution Date ) until the date that is 60 days from the Execution Date (or such later date as agreed in writing by the Parties) ( Option Period ).
(c) At any time during the Option Period, the Option may be exercised by the Company (in its sole discretion) by giving written notice to CMH.
(d) If the Option is not exercised during the Option Period it shall lapse, unless the Parties otherwise agree in writing, and the agreement will be of no force or effect, with each Party being released from all obligations and liabilities under the agreement, other than any obligations or liabilities arising or relating to the period prior to termination of the agreement.

1.2 Earn-in Rights

1st Earn-In Stage

(a) The Company will earn the 1[st] Earn-In Interest in the Project (being a 25% Percentage Share) upon exercising the Option during the Option Period and by:
(i) paying CAD120,000 in cash (less the Option Fee) into CMH’s nominated bank account; and
(ii) subject to any necessary shareholder or regulatory approvals, issuing 4,500,000 OM1 Shares to CMH (or its nominee),

(together, the 1[st] Earn-In Conditions ).

(b) In the event the Company does not earn the 1[st] Earn-In Interest on or before the expiry of the Option Period, then the Company will have no interest in the Project and the Earn-In Agreement will be at an end and the Parties will be released from their future obligations under the Earn-In Agreement (other than in respect of any breaches that occurred prior to termination).

2nd Earn-In Stage

(d) On and from the 1[st] Earn-In Stage Completion, the Company has the sole and exclusive right, but not the obligation, to earn the 2nd Earn-In Interest (being an additional 8% Percentage Share for a total 33% Percentage Shares) by:
(i) paying CAD 120,000 in cash into CMH’s nominated bank account; and
(ii) subject to any necessary shareholder or regulatory approvals, issuing 2,700,000 OM1 Shares to CMH (or its nominee),

(together, the 2[nd] Earn-In Conditions ).

(e) In the event the Company does not satisfy the 2[nd] Earn-In Conditions, the Company’s interest in the Project will remain as the 1[st] Earn-In Interest and, the Parties will establish a joint venture in respect of the Project in accordance with the Earn-In Agreement.

3rd Earn-In Stage

(f) On and from the 2[nd] Earn-In Stage Completion, the Company has the sole and exclusive right, but not the obligation, to earn the 3[rd] Earn-In Interest (being an additional 18% Percentage Share for a total 51% Percentage Shares) by:
(i) sole-funding CAD 500,000 in Project Expenditure on or before the end of the 3[rd] Earn-In Period (being on or before the date that is 12 months after exercise of the Option);
(ii) paying CAD 120,000 in cash into CMH’s nominated bank account; and

(iii) subject to any necessary shareholder or regulatory approvals, issuing 1,650,000 OM1 Shares to CMH (or its nominee),
(together, the 3[rd] Earn-In Conditions ).
(g) If the Company does not satisfy the 3[rd] Earn-In Conditions, the Company’s interest in the Project will remain as the 2[nd] Earn-In Interest and, the Parties will establish a joint venture in respect of the Project in accordance with the Earn-In Agreement.

4th Earn-In Stage

(h) On and from the 3[rd] Earn-In Stage Completion, the Company has the sole and exclusive right, but not the obligation, to earn the 4[th] Earn-In Interest (being an additional 29% Percentage Share for a total 80% Percentage Shares) by:
(i) sole funding CAD 1,000,000 in Project Expenditure on or before the end of the 4[th] Earn-In Period (being on or before the date that is 24 months after exercise of the Option);
(ii) paying CAD 120,000 in cash into CMH’s nominated bank account; and
(iii) subject to receipt of any necessary shareholder or regulatory approvals, issuing 900,000 OM1 Shares to CMH (or its nominee),
on or before the end of the 4th Earn-In Period (together, the 4[th] Earn-In Conditions ).
(i) If the Company does not satisfy the 4[th] Earn-In Conditions, the Company’s interest in the Project will remain as the 3[rd] Earn-In Interest and the Parties will establish a joint venture in respect of the Project.

5th Earn-In Stage

(j) On and from the 4[th] Earn-In Stage Completion, the Company has the sole and exclusive right, but not the obligation, to earn the 5[th] Earn-In Interest (being an additional 20% Percentage Share for a total of 100% Percentage Shares) by:
(i) sole funding CAD 1,000,000 in Project Expenditure on or before the end of the 5[th] Earn-In Period (being on or before the date that is 36 months after exercise of the Option);
(ii) paying CAD 120,000 in cash to CMH’s nominated bank account; and
(iii) subject to any necessary shareholder or regulatory approvals, issuing 600,000 OM1 Shares to CMH (or its nominees),

on or before the end of the 5th Earn-In Period (together, the 5[th] Earn-In Conditions ).

1.3 Royalty

(a) Upon the Company completing the requirements set out in clause (j) above ( 5[th] Earn-In Stage Completion ), on and with effect from the 5th Earn-In Stage Completion the Company grants CMH a 3% net smelter royalty ( Royalty ) over all minerals produced from the area within the boundary of the Tenements, and will, when requested by either CMH or the Company, enter into a royalty agreement with CMH on the terms and conditions based on the AMPLA Model Royalty Deed (to be prepared by the Company’s lawyers).
(b) The Company will have the right (at its sole discretion and at any time) to buy-back from CMH 1.5% of the Royalty for a payment of CAD 2,000,000 in cash into CMH’s nominated bank account.

1.4 Withdrawal

The Company may withdraw from its obligations under this agreement at any time by giving not less than 1- month prior written notice to that effect to CMH.

The Earn-In Agreement otherwise contains terms considered standard for an agreement of this nature.
