SUB: INTIMATION UNDER REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE - REQUIREMENTS) REGULATIONS, 2015 CONVERSION OF 365944 (THREE LAKH SIXTY FIVE THOUSAND NINE HUNDRED FORTY FOUR) WARRANTS INTO EQUAL NUMBER OF EQUITY SHARES OF THE COMPANY

Dear Sir / Madam,

This is with furtherance to our intimation given by the Company on February 23, 2024 w.r.t. allotment of 20,91,249 (Twenty Lakh Ninety-One Thousand Two Hundred Forty-Nine) warrants, each convertible into equity shares of face value of Rs. 10/- each, (“Warrants”) at an issue price (“Warrant Issue Price”) of Rs. 128/- each (Rupees One Hundred Twenty-Eight only), after receipt of subscription amount being 25% of the issue price from the allottees on preferential basis as per the list forming part of the said letter.

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), we wish to inform you that members of the Board of Directors of the Company through resolution by circulation on 05[th] April,2024 considered and approved the conversion of 365944 (THREE LAKH SIXTY FIVE THOUSAND NINE HUNDRED FORTY FOUR) warrants into 365944 (THREE LAKH SIXTY FIVE THOUSAND NINE HUNDRED FORTY FOUR) equity shares of face value of Rs. 10/- each, out of the 20,91,249 (Twenty Lakh Ninety-One Thousand Two Hundred Forty-Nine) warrants allotted on February 23, 2024 on preferential basis, upon receipt of an amount aggregating to Rs. 3,51,30,624/- (Rupees Three Crore Fifty One Lakh Thirty Thousand Six Hundred Twenty Flour ) at the rate of Rs. 96/- (Rupees Ninety-Six Only) per warrant (being 75% of the issue price per warrant) from the allottees pursuant to the exercise of their rights of conversion into equity shares in accordance with the provisions of SEBI (ICDR) Regulations, 2018 and list of allottees along with name of warrant holders whose warrants are pending for conversion is enclosed as Annexure-I.

Consequent to today's conversion of warrants/allotment of Equity Shares, 9,91,817 (Nine Lakh Ninety one Thousand Eight Hundred Seventeen) warrants shall remain pending for conversion which can only be converted into equity shares upon payment of balance 75% of the warrant amounts as per issue price per warrant within 18 months from the date of warrant allotment.

Pursuant to conversion, the Issued, Subscribed and Paid-up Equity Share Capital of the Company stands increased to Rs. 1,59,94,320/- consisting of 15,99,432 fully paid-up Equity Shares of Rs. 10/-each.

The new equity shares so allotted, shall rank pari passu with the existing equity shares of the Company subject to completion of necessary corporate actions and receipt of listing and trading approvals.
