    1. Appointed Dr. P V Ramesh (Dr. Penumaka Venkata Ramesh) (DIN: 02836069) as Additional Director of the Company w.e.f. 9th January, 2021.
    1. Subject to shareholders approval, appointed Dr. P V Ramesh (DIN: 02836069) as Managing Director of the Company for a period of 3 (Three) years w.e.f. 9th January, 2021.
  • 3. Accepted the resignation of Mr. B. Sharat Chandra, for the position of the Chief Executive Officer of the Company (who is holding the position of CEO & CFO of the Company) w.e.f. 9th January, 2021. However, he will continue to retain his position as Chief Financial Officer of the Company.

    1. Subject to shareholders approval, appointed Mrs. Chintalapudi Lakshmi Kumari (DIN: 09023799) as Independent Director of the Company for a period of 5 (Five) years w.e.f. gth January, 2021.

Brief profile of Dr. P V Ramesh: Dr. P V Ramesh is a qualified Post Graduate in General Surgery (MS) and joined in Indian Administrative Service (IAS) in the year 1985 and having over 36 years of senior executive leadership experience in government, international development organizations and corporate enterprises in several countries across Asia-Pacific, West Asia, Arab States, Europe, East and Southern Africa regions, and UN headquarters in New York and International Fund for Agricultural Development IFAD in Rome. He was also a Chairman and Managing Director of REC Limited.

He held senior assignments in Government of India, United Nations Office for Project Services (UNOPS), United Nations Population Fund (UNFPA), International Fund for Agricultural Development (IFAD), REC Ltd, National Archives of India, etc. He provided strategic and operational leadership to ministries, departments, and corporate entities with accountability exceeding US$35 billion annually.

He has substantive expertise in organisational strategy and management, investment management, financial management, resource mobilisation, power-sector management, public policy, governance reform, health systems management, etc. He managed international development finance for 22 years, public finances for 5 years and corporate finance for 5 years. He built, nurtured, mentored, teams of multi-national professionals and mutually beneficial partnership with public, private, international development agencies, national, international research organisations.

He held senior diplomatic assignments: represented UNFPA in Afghanistan as its country head; coordinated UNOPS operations in Asia-Pacific, West Asia and the Arab States; director of UNOPS East and Southern Africa regional office at Nairobi; UNOPS representative to United Nations Development Group (UNDG) at New York and IFAD Consultative Group member; UNOPS/ World Bank's Senior Advisor to the Ministers of Commerce and Finance in Afghanistan.

As Chairman and Managing Director of REC Limited, he contributed to impressive growth and diversification of corporate business, rapid expansion of green energy and electric mobility in India. He raised the first green bond from India in the international market, apart from $ 4.8 billion for financing energy investments. He built sustainable partnerships with multilateral, bilateral and private financial institutions for power sector development in India. He coordinated the programs that electrified every village, habitation, and household across India.
