Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 21, 2016, Mr. José E. Rossi resigned from the Board of Directors of OFG Bancorp for personal reasons. There were no disagreements between the Company and Mr. Rossi leading to his decision to resign.
