Sub: Outcome of Board Meeting
Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), we wish to inform that the Board of Directors (“Board”) at its Meeting held today i.e. February 20, 2026, has inter alia;
1. Fund Raising:
Upon a comprehensive review of the prevailing market conditions, current valuation environment, the Company’s overall capital structure, liquidity position, and evolving business requirements, the Board has decided to withdraw the proposed fund raising initiative at this stage.
In light of these factors, we believe that withdrawal of the said proposal will not have any adverse impact on the Company’s ongoing operations, financial performance, liquidity position, capital structure, or long-term growth strategy.
2. Approval of Postal Ballot Notice:
Considered and approved the Postal Ballot Notice.
Postal Ballot Notice shall be sent to the shareholders in due course and the same shall be filed with the Stock Exchanges.
The Board Meeting commenced at 05.15 p.m. and concluded at 06.00 p.m.
