Annual Meeting of Stockholders - Notice

The Annual Meeting of Stockholders of Oculus VisionTech Inc. will be held on Friday, September 15, 2023 at Suite 507, 837 West Hastings St., Vancouver, British Columbia, Canada, at 9:00 a.m. (Pacific Time).

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR all director nominees and FOR Proposals 2 and 3:

1. Election of Directors.

2. Ratify selection of Auditors.

3. Ratify continuation of Omnibus Equity Incentive Compensation Plan.

PLEASE NOTE – YOU CANNOT VOTE BY RETURNING THIS NOTICE. To vote your shares you must vote online or request a printed copy of the proxy materials to receive a Proxy card. If you wish to attend and vote at the meeting, please bring this Notice with you.
