OCI N.V. Nominates Ahmed El-Hoshy to its Board of Directors

OCI N.V. (Euronext: OCI) announced today that its Non-Executive Board of Directors will propose the appointment of Mr. Ahmed El-Hoshy as executive member of the Board of Directors to the next general meeting of shareholders (AGM) to be held on 17 June 2020.

Further, at the AGM, Mr. Jan Ter Wisch will not continue his term as an independent non-executive director and Vice-Chairman of the Board of Directors of OCI N.V. Mr. Ter Wisch has served OCI N.V.'s Board since 2013, and has also been a member of the Audit Committee and the Nomination & Remuneration Committee during that time.

Pending all necessary approvals at the upcoming AGM, OCI N.V.'s Board of Directors will have 12 members of a diverse background. The Board will comprise of independent non-executive chairman Michael Bennett, executive directors Nassef Sawiris, Hassan Badrawi, Ahmed El-Hoshy and Maud de Vries, non-executive director Jérôme Guiraud, and independent non-executive directors Dod Fraser, Gregory Heckman, Robert Jan van de Kraats, Anja Montijn, Sipko Schat and David Welch.

Biography

Mr. El-Hoshy, a dual US and Egyptian citizen, has been with OCI for over ten years and was appointed COO in November 2019, overseeing all commercial, operational and other business activities. He is also the CEO of OCI Americas, heading all investments, operations and activities in the Americas, and has expanded those responsibilities to Europe. He has overseen OCI's expansion in North America from no production assets in 2011 to the current 5.5+ million tons of nitrogen and methanol capacity, representing over \$6 billion in replacement value. During this time, he led the development of the group's largest greenfield projects from inception, including Iowa Fertilizer Company, and has been responsible for a wide array of activities including project development, financing, M&A, corporate strategy and general management. He was also CEO of OCI Partners LP, a subsidiary of OCI NV, when listed on the NYSE. As part of his commercial oversight role, he was instrumental in creating the N-7 JV and growing the Diesel Exhaust Fluid business. Ahmed began his career at Goldman Sachs as a member of the investment banking and special situations groups in New York and Dubai. He received his bachelor's degree in economics with honors from Harvard College.
