OCEANTEAM ASA - TRANSACTION OF KCI HAS BEEN CLOSED THROUGH SIGNING OF SALE AND PURCHASE AGREEMENT WITH IHC

With reference to the press release issued on 3 January 2018 Oceanteam ASA

(Oceanteam), the Dutch - Norwegian offshore service provider, listed at the Oslo

stock exchange, and Royal IHC (IHC), a Dutch privately owned global supplier of

innovative and efficient equipment, vessels and sustainable services for the

offshore, dredging and wet mining markets announce that the required conditions

precedent have now been fulfilled.

Consequently the transaction under the terms of which IHC acquires all of the

outstanding share capital of Oceanteam's Dutch based engineering and consultancy

company KCI the Engineers B.V. has been closed on Monday 15 January 2018 through

signing of the Sale and Purchase Agreement and ancillary documents.
