Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 17, 2016, Occidental Petroleum Corporation (the “Company”) agreed to pay out Mr. Chazen’s accrued but unused vacation in connection with the previously announced transition of the CEO role from Mr. Chazen to Ms. Hollub, which will take effect at the Company’s 2016 annual shareholder meeting. The cash payment will be based on his base salary as in effect immediately prior to the 2016 annual meeting and will be paid to Mr. Chazen as soon as administratively practicable following the date of the 2016 annual meeting.
