Completion of Acquisition
Ocado Group plc ("Ocado"), the leading online grocery platform and solutions provider, today announces that it has completed the acquisition of Haddington Dynamics Inc. ("Haddington Dynamics") following satisfaction of the closing conditions. This follows the announcement of an agreement to acquire Haddington Dynamics (the "Acquisition Agreement") made on 02 November 2020.

Detail on Equity Consideration
Ocado confirms that, pursuant to the terms of the Acquisition Agreement, 560,954 ordinary shares of 2 pence each have been issued to certain Haddington Dynamics shareholders, and are expected to be admitted to the premium listing segment of the Official List maintained by the Financial Conduct Authority and to trading on the Main Market for listed securities of the London Stock Exchange at 8.00 a.m. on 22 December 2020.
