Application for block listing

Ocado Group plc ("Ocado") announces that an application has been made for 1,300,000 of its ordinary shares of 2 pence each (which may be issued in respect of the Ocado Long Term Incentive Plan), to be admitted (if and when issued) to trading on the market for listed securities of The London Stock Exchange and to The Official List of the UK Listing Authority. Such ordinary shares shall, when and if issued, rank equally with the existing issued ordinary shares of Ocado. Further information about Ocado is available on its website at www.ocadogroup.com.
