Listing Application pursuant to Chairman's Share Matching Award

Further to the announcement on 17 May 2013, Ocado Group plc ("Ocado") has made an application for the listing of 452,284 new ordinary shares of 2 pence each fully paid ("shares") to the UK Listing Authority and for trading of the shares with the London Stock Exchange. Admission of the shares to the Official List is expected to occur on 29 May 2013. This application is being made pursuant to the Chairman's Share Matching Award. When issued, these shares will rank pari passu in all respects with the existing ordinary shares of Ocado.
