Application for block listing

Ocado Group plc ("Ocado") announces that an application has been made for 8,000,000 of its ordinary shares of 2 pence each (which may be issued in respect of the Ocado 2014 Executive Share Option Scheme (3,000,000 shares) and Ocado Share Incentive Plan (5,000,000 shares)), to be admitted (if and when issued) to trading on the market for listed securities of The London Stock Exchange and to The Official List of the UK Listing Authority. Such ordinary shares shall, when and if issued, rank equally with the existing issued ordinary shares of Ocado.
