Director/PDMR Notification

Ocado Group plc (the "Company") announces that it has received notification pursuant to the FCA's Disclosure and Transparency Rules 3.1.2R, that Duncan Tatton-Brown, an executive director of the Company, has purchased ordinary shares in the Company.

Mr Tatton-Brown purchased 100,000 shares at a price of 226.70 pence per share on 1 July 2016.

The shares purchased represent 0.016% of the Company's issued share capital. Following these purchases, Mr Tatton-Brown holds 624,604 ordinary shares in the Company, which represents 0.099% of the Company's issued share capital.

For the purposes of DTR 3.1.3, the transactions took place in the United Kingdom.
