Director/PDMR Notification

Ocado Group plc (the "Company") announces that it has received notification pursuant to the FCA's Disclosure and Transparency Rules 3.1.2R, that Douglas McCallum, a non-executive director of the Company, has purchased ordinary shares in the Company.

Mr McCallum purchased 5,000 shares at a price of 347.47 pence per share on 24 March 2015 and 5,000 shares at a price of 342.39 pence per share on 25 March 2015. The registered shareholder is TD Direct Investing Nominees (Europe) Limited.

The shares purchased represent 0.0016% of the Company's issued share capital. Following these purchases, Mr McCallum holds 20,000 ordinary shares in the Company, which represents 0.0032% of the Company's issued share capital.

For the purposes of DTR 3.1.3, the transactions took place in the United Kingdom.
