Ocado Group plc (the "Company")

Block Listing Application

The Company announces that an application has been made to the London Stock Exchange ("LSE") and the UK Listing Authority ("UKLA") for the admission of 10,143,595 fully paid ordinary shares in the Company of 2 pence each ("Shares") to trading on the main market for listed securities of the LSE and to the premium segment of the official list of the UKLA. The Shares will rank pari passu with the existing issued ordinary shares of the Company.

The Shares will be reserved under a block listing in connection with the Company's 2019 Value Creation Plan (the "VCP") that was approved by shareholders at the 2019 Annual General Meeting. The Shares will be issued from time to time in satisfaction of awards granted under the VCP. 

Admission of the Shares is expected to take place on 31 May 2019.

This announcement is made in accordance with Listing Rule 3.2.
