("OHL" or the "Company"), pursuant to article 227 of the consolidated text of the Securities Market Act approved by Royal Legislative Decree 4/2015, of 23 October, hereby notifies the Spanish National Securities Market Commission (Comisión Nacional del Mercado de Valores) ("CNMV") the following

INSIDE INFORMATION NOTICE

In connection with the communication of inside information dated 23 November 2020 (with registry number 595), the Company informs that the closing of the transaction in connection to the sale of its stake in the company that owns the Nuevo Hospital de Toledo concession and its operator to a fund managed by DIF Capital Partners Limited has been closed today.

The closing of the transaction has settled in accordance with the terms of the Purchase Agreement and the company has received a final global price of € 74,602,612.14, after certain customary adjustments to this type of transactions, as was already advanced to the market last November.

The Company informs that the estimated capital gains of the transaction will be within a range between 45 and 50 million euros.
