("OHL" or the "Company"), pursuant to article 227 of the consolidated text of the Securities Market Act approved by Royal Legislative Decree 4/2015, of 23 October, hereby notifies the Spanish National Securities Market Commission (Comisión Nacional del Mercado de Valores) ("CNMV") the following

OTHER RELEVANT INFORMATION NOTICE

In connection with the communications of other relevant information dated 16 March 2021, 18 March 2021 and 9 April 2021 (with numbers 7993, 8044, 8071 and 8501), the Company informs that on the date hereof the High Court of Justice in England and Wales has sanctioned the Scheme.

Once the filing of an office copy of the Scheme Sanction Order has been made with the Registrar of Companies for registration, the Scheme Effective Date will occur. The Scheme Effective Date is expected to occur tomorrow, 16 April 2021.

It is expected that the implementation of the transaction in the terms foreseen under the Scheme will occur in the next weeks. The Company will continue to inform in a timely manner of all relevant issues in relation to the implementation process.
