("OHL" or the "Company"), pursuant to article 226 of the consolidated text of the Spanish Securities Market Act approved by Royal Legislative Decree 4/2015, of 23 October, hereby notifies the Spanish National Securities Market Commission (Comisión Nacional del Mercado de Valores) ("CNMV") the following

INSIDE INFORMATION NOTICE

Following the communication of inside information number 616 in relation to the agreement reached by the Company and Grupo Villar Mir, S.A.U. ("GVM"), the Company informs that such agreement has been formalised by virtue of an agreement of delivery in payment (dación en pago) and acknowledgement of debt entered into yesterday night between the Company, GVM and Inmobiliaria Espacio, S.A.U. which key terms were communicated to the market in the abovementioned communication of inside information (the "Agreement"). The completion of the transactions foreseen in the Agreement, which shall take place before 20 February 2021, is subject to obtaining certain authorisations including the waiver from the financial creditors of the Company.
