Ref.: Notification of Significant Event: OHL Concesiones sale

Dear Sirs,

The Company, OBRASCON HUARTE LAIN, S.A. (OHL), in compliance with current legislation, hereby reports the following:

Significant Event

In relation to what is reported in the relevant facts of registration number 257439 and 259040, the Company reports that all of the conditions precedent are complete for the purchase and sale of 100% of the share capital of OHL Concesiones, S.A.U. by the IFM Global Infrastructure Fund jointly with any of its affiliates (the Acquirer).

The parties have started the closing process by launching today by Magenta Infraestructuras, S.L., a company controlled by OHL Concesiones, S.A.U., of an offer public, through the Bolsa Mexicana de Valores, SAB of C.V. (the "BMV"), to acquire up to 100% of the shares of OHL México, S.A.B. of C.V. held by the large investing public.

The completion of the closing process is scheduled to take place next Thursday, April 12 through the delivery of the shares of OHL Concesiones S.A.U. to the Acquirer and the corresponding collection of the price by OBRASCON HUARTE LAIN, S.A.
