On the date hereof the noteholders' meetings in relation to the following issues have been held at second call: (i) €400,000,000 4.750% Senior Notes due 2022 (ISIN: XS1043961439; Common Code:104396143) and (ii) €325,000,000 5.50% Senior Notes due 2023 (ISIN: XS1206510569; Common Code: 120651056) (together, the "Noteholders' Meetings" and the "Notes") which were called by virtue of the announcement published on 4 August 2020.

Each of the Noteholders' Meetings has approved the proposals presented for its consideration which are included in the announcement referred to above, including the waiver of the Noteholder's ability to exercise rights relating to the Notes pursuant to the Conditions, including, for the avoidance of doubt, their rights under Condition 7(a) (Negative Pledge) and their rights to accelerate the Notes pursuant to Condition 10 (Events of Default), in respect of the security interests granted by OHL and other Subsidiaries to secure all amounts due under the €140,000,000 credit agreement entered into on 30 April 2020 between OHL and a syndicate of banks which was communicated to the market by virtue of the announcement published on 18 May 2020 (the "ICO Credit Agreement").

In relation to the satisfaction of the rest of conditions for the disposal of the second €70,000,000 tranch of the ICO Credit Agreement, the Company informs that it continues discussions with the bondholders to explore strategic alternatives to strengthen the Company's balance sheet in accordance with the information published in the announcement made on 7 August 2020.
