Re: Acquisition of Nirmal Lifestyle Realty Private Limited under the Insolvency and Bankruptcy Code, 2016 - Update

Dear Sir,

We refer to our earlier letter dated August 12, 2024 whereby we have intimated, inter alia, about the approval by Hon’ble NCLT, Mumbai of the Resolution Plan submitted by the Company in relation to the Corporate Insolvency Resolution Process (“CIRP”) of Nirmal Lifestyle Realty Private Limited (“NLRPL”) .

In furtherance thereto we now write to inform you that the Company has on November 7, 2024 (i.e. the Effective Date as per the Resolution Plan) completed the acquisition of NLRPL by paying/ providing for the payment of the CIRP Costs at actuals, the amount of Rs. 273 Crore to various creditors in full and final settlement and subscribing to 100% equity share capital of NLRPL for Rs. 100,000 (Rupees One Lakh only).

Also, effective November 7, 2024 the Interim Committee (that was managing NLRPL from the date the Resolution Plan was approved by Hon’ble NCLT) stands dissolved, and that the Board of Directors of NLRPL stands reconstituted to comprise of the individuals identified by the Company and the management and control of NLRPL has vested in the Company.
