Nyrstar NV (the "Company") today invited the holders of securities issued by the Company to attend an Extraordinary General Shareholders' Meeting ("EGM") of the Company to approve the physically settled conversion right attached to the senior guaranteed unsecured convertible bonds due 2022 (the "Bonds"), as well as to approve the change of control provisions of the terms and conditions of the Bonds. The Bonds have been issued by the Company on 11 July 2016 for an aggregate principal amount of EUR 115 million and have been placed with institutional and qualified investors in Belgium and elsewhere, but outside of the United States, following an accelerated book-building procedure.
The EGM will be held in Brussels on Thursday 27 October 2016 at 11:30 a.m.
Shareholders who wish to participate and vote are advised to register to attend in person or register a vote by mail or by proxy by Friday 21 October 2016, at the latest. Shareholders are reminded to contact their financial intermediary before that date in order to obtain the necessary certificates to register for the meeting. Please be aware that brokers or custodians are likely to have set earlier deadlines to process instructions.
