Issue of Equity under Company Performance Share Plan

NWF Group plc, the specialist distributor of fuel, food and feed across the UK, announces it has issued 130,198 ordinary shares of 25 pence each ("Ordinary Shares") pursuant to awards previously made under the NWF Company Performance Share Plan (the "Plan"), following the satisfaction of certain performance conditions.

The Company has also been notified that Richard Whiting, Chief Executive, sold 44,032 Ordinary Shares.

The table below sets out the allocation of the awards, together with the resulting holdings of the PDMRs following Admission, taking into account the effect of Richard's transaction:

Issue of equity and total voting rights

Application has been made for the 130,198 new Shares to be admitted to trading on AIM ("Admission"). Admission is expected to take place at 8.00 a.m. on 11 August 2021.

In accordance with the FCA's Disclosure Guidance and Transparency Rules (DTR 5.6.1) the Company notifies that following Admission, its issued share capital will consist of 49,134,163 Shares. There are no shares held in treasury.  Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
