The shares (the “Shares”) to be registered hereunder are common shares of beneficial interest, $0.01 par value per share of Nuveen California AMT-Free Municipal Income Fund (formerly, Nuveen Insured California Tax-Free Advantage Municipal Fund) (the “Registrant”). A description of the Shares is contained under the heading “Description of Shares” in the prospectus included in an amendment to the Registrant’s registration statement on Form N-2, which registration statement was originally filed under the Securities Act of 1933, as amended, and the Investment Company Act of 1940, as amended, on June 4, 2013 (Registration Nos. 333-184971 and 811-21212, respectively), and such description is incorporated herein by reference.
