Board Appointment and Update

Sydney, Australia – Global software company Nuix (‘the Company’, ASX: NXL) is pleased to provide the following update to its Board structure.

Appointment of Alan Cameron AO as Non-executive Director

Nuix looks forward to welcoming Alan Cameron AO to the Board as an Independent Non-executive Director, from early January, 2023, subject to the usual background checks.

Alan Cameron is a respected company director and lawyer, with experience across a range of legal, corporate and regulatory roles.

Alan’s previous roles include Chairman of Property Exchange Australia Limited (PEXA), Chair of the NSW Law Reform Commission, Commonwealth Ombudsman as well as Chair of the Australian Securities Commission (ASC) and Australian Securities and Investments Commission (ASIC).

Alan is currently Chair of .au Domain Administration Limited and the Legal Services Council.

Nuix Chairman Hon. Jeffrey Bleich commented: “We are thrilled to welcome Alan to the Nuix Board. Alan’s experience and skillset is highly complementary to those of the existing Directors. Alan’s background fits exceptionally well with some of the most important areas of Nuix’s business and at the Board level he adds a unique and valuable perspective.”

Changes to Chair and Chair of Audit and Risk Committee

The Board advises that current Chair, Hon. Jeffrey Bleich and Chair of Audit and Risk, Sue Thomas will rotate out of their respective chairs in coming months.

Jeffrey Bleich will continue to serve as a Non-executive Director of the Company, subject to re-election at today’s Annual General Meeting. Ms Sue Thomas will also continue to serve as a Non-executive Director.

The Board is currently in the advanced stages of a search for a new Director who will be appointed Chair of the Audit and Risk Committee.

Once the new members of the Board are in place the Board will confirm the successor to Mr Bleich as Chair of the Board and the timing of the transition.

Jeffrey Bleich commented: “It has been an enormous privilege to serve as Nuix Chairman for the last two years.

I am seeking re-election at today’s Annual General Meeting as a Non-executive Director because I remain passionate about the mission of Nuix and, with shareholders’ support, would be honoured to continue that important work.

Alan Cameron

Alan Cameron AO FAICD Life is a company director and lawyer. He was Chairman of Property Exchange Australia Limited (PEXA) from its inception until shortly before it listed in June 2021, and completed his extended term as Chair of the NSW Law Reform Commission in May 2022. A former partner of the firm now called Ashurst Australia, he was Commonwealth Ombudsman and later Chair of the Australian Securities Commission (ASC) and Australian Securities and Investments Commission (ASIC) during the 1990s.

Alan is currently Chair of .au Domain Administration Limited and the Legal Services Council.

Alan graduated in Arts (BA) and Law (LLM) from the University of Sydney.
