Dear Sir/Ma’am,
In accordance with the provisions of the Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that a meeting of the Nomination and Remuneration/Compensation Committee (“Committee”) of Nucleus Software Exports Limited (“Company”) was held on May 20, 2026 at 12 pm and concluded at 15:00 pm for grant of 2,50,000 (Two Lakh Fifty Thousand) Restricted Stock Units(“RSU”) convertible into equal number of Equity Shares of the Company of face value of Rs. 10/- each, under the Nucleus Software RSU Scheme – 2026 (“Scheme”).
The relevant disclosure, as required under Regulation 30 of the SEBI (LODR) Regulations, 2015, pursuant to SEBI Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are as under:
