RESTRUCTURE AND RECAPITALISATION UPDATE

ASX ANNOUNCEMENT

12 NOVEMBER 2012

Background

Redbank Copper Limited (“Redbank” or “Company”) (ASX: RCP) announced on 22 May 2012 that it had signed a Restructure Deed with Investmet Limited (“Investmet”), Stirling Resources Limited (“Stirling”) and Stirling’s major shareholder DCM DECOmetal GmbH (“DCM”) to facilitate the restructure and recapitalisation of Stirling and Redbank (“Transaction”). The Company announced on 7 August 2012 that the End Date for the satisfactory completion of the Conditions Precedent contemplated in the Transaction had been extended to 31 October 2012.

Status

The ASX has advised that Stirling, based on the terms of the Restructure Deed, will need to recomply with the full ASX admission criteria. Due to this advice, it has been agreed by all parties to the Transaction that Stirling will not be able to participate in the proposed Transaction.

DCM and Investmet, as contemplated in the Restructure Deed, are negotiating in good faith to secure the restructure and recapitalisation of Redbank and Swan Gold Mining Limited (“Swan”), both companies in which Stirling has a significant holding.

Board Positions

Because Stirling will not form part of any revised proposal being negotiated in relation to Redbank and Swan, the Investmet nominee directors, Michael Fotios, Peter Farris and Damian Delaney, have resigned from the Board of Stirling with immediate effect. The Investmet nominee directors remain on the Board of the Company and Swan.
