Nieuwe Commissarissen Nieuwe Steen Investments

HOORN - Nieuwe Steen Investments N.V. is voornemens de samenstelling van de raad van commissarissen te wijzigen. President-commissaris de heer J.R. Zeeman zal de raad van commissarissen verlaten. In zijn plaats zal de heer H. (Hertzel) Habas, CEO van Habas Groep, toetreden tot de raad van commissarissen. De heer mr. A.P. (Ted) van Lidth de Jeude zal de onlangs afgetreden heer mr. M.J.C. van Galen opvolgen als lid van de raad van commissarissen. De kandidaten zullen door de raad van commissarissen en de Stichting Prioriteit NSI worden voorgedragen voor benoeming door de aandeelhoudersvergadering op 27 september aanstaande.

Hertzel Habas (1960) is CEO van de Israëlische Habas Groep, die eerder dit jaar een belang heeft verworven van circa 20% in Nieuwe Steen Investments. De Habas Groep is actief in projectontwikkeling van prestigieuze woonobjecten en is genoteerd aan de beurs van Tel Aviv. Naast projectontwikkeling heeft de familie Habas een internationale vastgoedbeleggingsportefeuille opgebouwd. Nieuwe Steen Investments verwacht dat de heer Habas met zijn ondernemerschap en kennis van (internationaal) beleggen een belangrijke bijdrage kan leveren aan de verdere ontwikkeling van Nieuwe Steen Investments.

Ted van Lidth de Jeude (1942), was notaris bij Loyens Loeff (daarvoor Loeff Clays Verbeke) met vastgoed als specialisme. Hij heeft kennis en ervaring op het gebied van vennootschapsrecht en de juridische en fiscale aspecten van grote vastgoedportefeuilles. Daarnaast heeft de heer van Lidth de Jeude ook ervaring met internationaal vastgoed wat van belang is in verband met de mogelijke aanpassingen in de strategie van de vennootschap.

Anka Reijnen, directeur van Nieuwe Steen Investments zegt over de veranderingen in de samenstelling van de raad van commissarissen: "Deze veranderingen zijn een logisch gevolg van de ontwikkelingen zoals die zich eerder dit jaar bij Nieuwe Steen Investments hebben voltrokken. De strategie van Nieuwe Steen Investments zal verder worden uitgewerkt met steun van de nieuwe grootaandeelhouder Habas Groep. Wij nemen met spijt afscheid van de heer Zeeman. Sinds de oprichting van Nieuwe Steen in 1993 is hij de verpersoonlijking geweest van het succes van Nieuwe Steen Investments. Als directeur, en sinds 2004 als president-commissaris, heeft hij een enorme bijdrage geleverd aan de groei van de onderneming en het creëren van waarde voor onze aandeelhouders. Wij zullen zijn eigenzinnige visie en kennis van de markt node gaan missen."

De heer J.R. Zeeman zegt over zijn vertrek. "Aan al het goede komt een eind, dus ook aan mijn betrokkenheid bij Nieuwe Steen Investments. Ik heb me altijd met hart en ziel ingezet voor deze uit de hand gelopen hobby. Het is nu tijd het roer over te geven aan anderen. Ik ben de aandeelhouders van Nieuwe Steen dankbaar voor het vertrouwen dat ze in me hebben gesteld. Ik wens aandeelhouders, medewerkers, directie en raad van commissarissen alle goeds voor de toekomst en hoop u allemaal te ontmoeten op onze aandeelhoudersvergadering op 27 september aanstaande."

Aansluitend op zijn vertrek als commissaris zal de heer Zeeman eveneens terugtreden als lid van de Beleggingsraad en als bestuurslid van de Stichting Prioriteit NSI. Over de invulling van de vacatures in deze twee organen zal later afzonderlijk worden bericht.

New supervisory directors Nieuwe Steen Investments

HOORN - Nieuwe Steen Investments N.V. intends to change the composition of the Supervisory Board. Mr J.R. Zeeman, the Chairman of the Board will step down. His place will be taken by Mr H. (Hertzel) Habas, CEO of the Habas Group. Mr A.P. (Ted) van Lidth de Jeude will replace Mr M.J.C. van Galen who also recently resigned. The appointment of the candidates will be recommended by the Supervisory Board and the NSI Priority Foundation at the General Meeting of Shareholders on 27 September.

Hertzel Habas (1960) is the CEO of the Israeli Habas Group, which acquired a holding of approximately 20% in Nieuwe Steen Investments earlier this year. The Habas Group is active in the development of prestigious residential properties and listed on the Tel Aviv Stock Exchange. Besides being involved in property development, the Habas family has built up an international property investment portfolio. Nieuwe Steen Investments is confident that, because of his entrepreneurial skills and expertise in (international) investments, Mr Habas will be able to make a significant contribution to the further development of the company.

Ted van Lidth de Jeude (1942) used to work as a civil-law notary for Loyens Loeff (formerly Loeff Clays Verbeke) and is specialised in property. He is an expert in company law and the legal and fiscal aspects of managing large property portfolios. He also has experience in international property, which is important in connection with the possible change in the company's strategy.

Anka Reijnen, the Managing Director of Nieuwe Steen Investments, explains the changes in the composition of the Supervisory Board: "The changes are the logical result of the developments that took place at Nieuwe Steen Investments earlier this year. The company's new strategy will be further worked out with support from the new principal shareholder, the Habas Group. We regret saying farewell to Mr Zeeman. Since the foundation of the company in 1993, he has been the personification of the success of Nieuwe Steen Investments. As the managing director and, since 2004 the Chairman of the Board of Supervisory Directors, he has made a substantial contribution to the growth of the company and creating shareholders value. We shall sorely miss his particular vision and market expertise."

Mr J.R. Zeeman described his departure "All good things must come to an end including my involvement in Nieuwe Steen Investments. I have always devoted my heart and soul to what was originally a hobby that got somewhat out of hand. It is now time to pass on the helm. I am grateful to the shareholders of Nieuwe Steen for the confidence that they have had in me. I would like to wish the shareholders, company employees, the Management Board and the Supervisory Board every success in the future and I hope to meet you all at the General Meeting of Shareholders on 27 September."

Following on from his departure from the Supervisory Board, Mr Zeeman will also resign from the Investment Advisory Board and the NSI Priority Foundation. Separate announcements regarding the filling of the vacancies of these two bodies will be made in due course.
