Report Content The Management Board of Proguns Group S.A., headquartered in Warsaw (the_quot;Issuer), announces that on February 11, 2025 the Issuer signed aMemorandum of Understanding (MoU) with Charter Trading Corporation(CTC), based in Texas USA. Under this agreement, the Issuer will offerits customers UH-60 Blackhawks helicopters, spare parts, and componentsfor UH-60 Blackhawk helikopters, as well as training program.Theoffered helicopters will be acquired from U.S. Armed Forces and will beintended for both civilian operations (such us rescue missions, searchand direfighting operations) and military missions. Under the agreement,the Issuer has obtained exclusive rights dfrom CTC to offer UH-60Blackhawk helicopters in Poland. The MoU is valid until February7, 2027.TheIssuer informs that Charter Trading Corporation is a company providingservices and products that support operations of the U.S. Department ofDefence (DOD) and the U. S. Department of Homeland Security (DHS). CTCis also a specialized MRO (Maintenance, Repair and Overhaul) centeroffering maintenance, modifications and upgrades for helicopters. With aglobal reach, CTC delivers top-tier maintenance and modernizationservices for helicopters to both U.S. and international clients.TheIssuer explains that the decision to expand its product offering toinclude UH-60 Blackhawk helicopters was made after analyzing theaviation market needs in Poland, including both law enforcement agenciesand civilian users. The decision also took into account the expertise ofkey team members who have experience in dual-use products market.TheIssuer indicates that the sale of UH-60 Blackhawk helicopters, as wellas related parts and components, could have i significant impact onIssuer's financial performance.At the same time, the Issueremphasizes thet it remains committed to implementing its new strategy,as outlined in Current Report ESPI No. 18/2024 dated October 22,2024which focuses on building a nationwide network of brict and mortarstores selling firearms and military accessories. Acting as anintermediary in the sale of Blackhawk helicopters, part and componentsand potentialy in the future, other dual - use products will serve as anexpansion of the Issuer_quot;s business activities.
