EXPLANATORY NOTE

On October 14, 2020, Nova Measuring Instruments Ltd. (NASDAQ:NVMI) (the “Company”) issued a press release announcing the pricing of $175 million principal amount of 0% convertible senior notes in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is attached as Exhibit 99.1 to this Report on Form 6-K.
