Dear Sir/Madam,

This is in furtherance to our intimation dated 2[nd] April, 2024, intimating that Board has approved the Appointment of Mr. Rajesh Cherukuri (DIN: 09840611) as the Additional Director designated as Whole-Time-Director of the Company, for a term of 3 (three) years w.e.f. 2[nd] April, 2024 subject to approval of members of the Company and subsequent intimation dated 10[th] May, 2024, intimating that Board decided to seek consent of members of the Company by way of Postal Ballot (Remote E-Voting) process for appointment of Mr. Rajesh Cherukuri (DIN: 09840611) as Whole-Time-Director of the Company .

In this regard, please be informed that the Postal Ballot (Remote E-Voting) is duly completed on 14[th] June, 2024 and based on the Scrutinizer’s Report dated 17[th] June, 2024, the resolutions contained in such Postal Ballot Notice are duly approved by the members of the Company with requisite majority. Accordingly, Mr. Rajesh Cherukuri (DIN: 09840611) is appointed as Whole-Time-Director of the Company, for a term of 3 (three) consecutive years w.e.f. 2[nd] April, 2024 with the approval of members .

In compliance with SEBI Letter dated June 14, 2018 and BSE Circular LIST/COMP/14/2018-19 dated June 20, 2018, we wish to confirm that Mr. Rajesh Cherukuri (DIN: 09840611) has not been debarred from holding the office of Director by virtue of any SEBI Order or any other Authority.

Brief profile (in case of appointment)	Mr. Rajesh had completed his Diploma in Mechatronics, Tamil Nadu in the year 2007. He had earlier worked with OMAX Autos Ltd, ANZ International, Nash Industries, Tata Power Systems Ltd. Aptar Beauty & Home India Pvt. Ltd. at various senior positions. He has lead teams and achieved production targets on time. He is expert in monitoring and completing the projects efficiently while reducing power, fuel, repairs & maintenance cost. He is well versed with implementing the global policy in manufacturing line and conducting training to operators and staff workers. Capable of Servicing and trouble shooting in Electrical Control Panels & instruments. With his professional skill and entrepreneurial knowledge Mr. Rajesh has stated an Electronic start-up company named ZENIT Systems in Jan 2021.
