NOS, SGPS, S.A. ("NOS") hereby informs that an agreement has been reached today between NOS and Claranet Group Limited ("Claranet Group"), to acquire 100% of the share capital of Claranet Portugal, S.A. ("Claranet Portugal") for 152 million euros.

Following 10 years of consecutive growth, Claranet Portugal recorded revenue of 205 million euros in 2024 financial year and generated an EBITDA of 15.4 million euros, driven by a strong and growing contribution coming from its services business. This transaction values Claranet Portugal at 9.9x EBITDA.

This agreement will enable NOS to strengthen its position as a relevant and trusted technology partner for business customers, while expanding its capabilities in the fast-growing technology sector. By adding the expertise and resources of Claranet Portugal, NOS reinforces the strategic ambition to deliver innovative and resilient digital solutions that meet the evolving needs of the business sector and drive the technological transformation of the economy and society.

The execution of this agreement is subject to notification and clearance by the Portuguese Competition Authority.
