Letter to Shareholders - Notice of Annual General Meeting

Dear Shareholder,

Communications as a Service pioneer Norwood Systems Ltd (Norwood or the Company) (ASX: NOR) announces its Annual General Meeting (AGM) will take place as a full virtual meeting at 10am WST 31[st] January 2022.

Of note, Norwood is conducting a Board renewal to bolster the breadth of experience and expertise required to underpin the next phase of growth for the Company, amid several highly-promising initiatives.

This includes the recent release of World Voicemail 4.0, which has been activated and is available on the App store (see ASX announcement dated 22 December 2021), as well as the forthcoming Aïda Virtual Assistant service platform. Subsequently, Norwood is seeking to expand its operations and vendor networks to leverage off this evolution in its core technology.

As part of the board renewal strategy, the Company has proposed the election of Dr John Tarrant, Philip Marsland and Philip Otley to the Board at the AGM.

Dr Tarrant has extensive and deep professional networks from a career spanning over 40 years across the finance, legal, mining and energy sectors with private and public companies. He has a Doctor of Philosophy and a Doctor of Juridical Science, both in law.

Mr Marsland has significant operational leadership capabilities, particularly relating to marketing technology products, which he has developed in senior operational roles at a range of top tier companies including Vodafone, Capital One Bank Europe plc, American Express, Virgin Active and Applied Predictive Technologies. Mr Marsland has a BA (Hons), MA in Physics from Oxford University and an MBA with Distinction from INSEAD.

Mr Otley has served as a partner in major professional services firms, such as Accenture and PwC, with a proven track record of applying balanced strategic, commercial and creative approaches to achieve organic and M&A driven growth. He has provided advice to a considerable number of telecoms providers and top tier technology, media and telecoms companies over the course of his career. Mr Otley has a BA in Politics, Economics and Industrial Relations from the University of Western Australia and an MBA from IMD.

Giles Everist and Mike Edwards have elected to retire from the Board at the AGM, as part of the Board renewal strategy. The Company thanks them for their service and contribution to the business over the past six years.
