Takeover bid by Northern Star for Echo — extension of offer period
Northern Star Resources Limited ACN 092 832 892 ( Northern Star ) attaches a notice under section 650D of the Corporations Act 2001 (Cth) varying its recommended cash takeover offer dated 13 September 2019 ( Offer ) of A$0.33 per share ( Offer Price ) for all of the issued shares in Echo Resources Limited ACN 108 513 113 ( Echo ) by extending the closing date ( Notice of Variation ).
In accordance with the Notice of Variation, Northern Star’s unconditional Offer will now close at 7.00pm (Sydney time) on Monday, 11 November 2019 .
The extension has been made further to the undertaking given in Northern Star’s Second Supplementary Bidder’s Statement dated 18 October 2019, to extend the offer to address ASX requirements in connection with the potential de-listing of Echo.
As announced on 18 October 2019, the Offer Price is final and will not be increased .
Northern Star has acquired approximately 3% in Echo today through on market purchases.

This notice of variation ( Notice of Variation ) is given under section 650D of the Corporations Act 2001 (Cth) by Northern Star Resources Limited ACN 092 832 892 ( Northern Star ) in relation to its offer dated 13 September 2019 ( Offer ) under its off-market takeover bid for all the shares in Echo. The Offer is contained in a bidder’s statement dated 5 September 2019, first supplementary bidder’s statement dated 23 September 2019 and second supplementary bidder’s statement dated 18 October 2019.
Variation: Extension of Offer Period
Northern Star gives notice that it has extended its Offer to now close at 7.00pm (Sydney time) on Monday, 11 November 2019.
