KEY POINTS

▪ Tony Kiernan, Lead Independent Director, will retire at the Annual General Meeting on 18 November 2021 ▪ Sharon Warburton will join the Board as an Independent Non-Executive Director on 1 September 2021

Northern Star Resources Ltd (ASX: NST) announces the retirement of Tony Kiernan as a Non-Executive Director, effective from the November 2021 Annual General Meeting.

Mr Kiernan, who joined the Board as Lead Independent Director on 12 February 2021 following implementation of the Scheme of Arrangement between Saracen Mineral Holdings and Northern Star, is retiring to focus on other interests. As Chairman of Saracen, Mr Kiernan’s collaborative leadership style coupled with his strong commercial experience steered Saracen through a transformational period of growth culminating in the November 2019 acquisition of a 50% interest in the KCGM Operations including the iconic Super Pit, followed by the merger of equals with Northern Star in February 2021. Northern Star’s Chairman, Michael Chaney, thanked Mr Kiernan for his significant contribution to the Company.

“Tony’s experience and wisdom made him a really valuable member of the Board and we shall miss his input greatly” said Mr Chaney.

Northern Star is pleased to announce that highly-regarded resources executive and public company director Sharon Warburton has been appointed an Independent Non-Executive Director of the Company, effective 1 September 2021.

Ms Warburton has held senior executive and board positions in several leading ASX-listed companies spanning the mining, energy and industrial sectors.

She is currently a Non-Executive Director of Blackmores, Wesfarmers and Worley and is a part-time member of the Takeovers Panel.

Ms Warburton is also a Non-Executive Director of Gold Road Resources. Gold Road has recently announced that she intends to retire from the Company’s Board effective 30 September 2021.

Her previous positions include Co-Deputy Chairman of Fortescue Metals Group and Non-Executive Directorships of NEXTDC and Western Power. She was also the inaugural Chairman of the Northern Australia Infrastructure Facility.

Ms Warburton trained as a Chartered Accountant with KPMG before being appointed Financial Controller at Rio Tinto in Perth and then Group Finance Executive at Rio Tinto in London.

Northern Star Chairman Michael Chaney said Ms Warburton would bring a wealth of global experience and knowledge to the Company.

“Sharon’s strategic prowess and commercial acumen will be enormously valuable to Northern Star as we embark on the next chapter of creating value from our exceptional asset portfolio,” Mr Chaney said.
