*Item 1.01 Entry into a Material Definitive Agreement.*

(a) On January 6, 2011, the Registrant entered into the first amendment to the third amended and restated credit and security agreement with Wells Fargo Bank, National Association (“Wells Fargo”), which provides a $13.5 million line of credit through May 31, 2013, a new $475,000 equipment term loan tied to equipment purchased in the recent acquisition announced Jan. 3 and a new term loan of up to $1.0 million for capital expenditures made in 2011.
