On March 21, 2016, the Board of Directors of Nortech Systems Incorporated (the “Company”) adopted an amendment (the “Amendment”) to the Company’s Bylaws. The Amendment provides that a record date of shareholders shall be not more than 60 days prior, instead of 45 days prior, to any intended action or meeting. The Amendment conforms the Bylaws to the provisions of Minnesota corporate law.
