Norse Atlantic ASA: Approval and publication of prospectus supplement
Arendal, 24 April 2023: Reference is made to the stock exchange announcement by
Norse Atlantic ASA (the "Company") on 11 April 2023 regarding the approval and
publication of a prospectus, on 12 April 2023 regarding approval and publication
of a prospectus supplement, and on 20 April 2023 regarding the successful
completion of a subsequent offer of new shares in the Company (the "Subsequent
Offering").
The Financial Supervisory Authority of Norway has today approved a prospectus
supplement, dated 24 April 2023 (the "Prospectus Supplement"), to the prospectus
dated 11 April 2023, as supplemented by the prospectus supplement dated 12 April
2023 (together, the "Prospectus"). The Prospectus Supplement has been prepared
due to the publication of audited financial statements as of and for the year
ended 31 December 2022, in accordance with article 23 of the EU Prospectus
Regulation (Regulation (EU) 2017/1129 of the European Parliament and of the
Council of 14 June 2017 and ancillary regulation), as implemented under
Norwegian law. The information contained in the Prospectus Supplement shall be
considered an integral part of, and is to be read together with, the Prospectus.
The Prospectus has been prepared by the Company in connection with the
Subsequent Offering and the contemplated transfer the listing venue of its
shares from Euronext Growth to Euronext Expand, a regulated market being part of
Euronext and operated by Oslo Børs ASA. The first day of trading on Euronext
Expand is, subject to approval by Oslo Børs ASA of the admission, expected to be
28 April 2023.
