Norse Atlantic ASA: Notice of extraordinary general meeting
Arendal, 6 November 2023: Reference is made to the stock exchange announcement
published by Norse Atlantic ASA (the "Company") on 4 November 2023 regarding the
successful completion of a private placement of 55,690,500 new shares
(conditionally in respect of tranche 2) in the Company raising gross proceeds of
USD 55 million (equal to approx. NOK 613 million) (the "Private Placement").
The Company's board of directors hereby calls for an extraordinary general
meeting to be held on 27 November 2023 at 09:00 CET in order to inter alia i)
approve the issuance of new shares in connection with settlement of tranche 2 of
the Private Placement, ii) granting an authorization to the Company's board of
directors to issue new shares in connection with a contemplated subsequent
offering, and iii) approve the election of additional members to the board of
directors. The meeting will be held electronically.
The notice for the extraordinary general meeting, including the board's proposed
resolutions, the notice of attendance and proxy forms, are attached to this
notice and will be made available on the Company's website www.flynorse.com.
Shareholders are encouraged to attend the meeting by casting their votes in
advance or granting a proxy to the chair of the board of directors within 23
November 2023 at 16:00 CET. Further details are found in the attached notice.
