Norse Atlantic ASA: Notice of Extraordinary General Meeting

Arendal, 25 November 2022: Reference is made to the stock exchange announcement

published by Norse Atlantic ASA (the "Company") on 25 November 2022 regarding

the successful completion of a conditional private placement of 120,000,000 new

shares in the Company at a subscription price of NOK 2.5, raising gross proceeds

of NOK 300,000,000 (approximately USD 30 million) (the "Private Placement"), and

a proposed subsequent share offering of up to 60,000,000 new shares at the Offer

Price (the "Subsequent Offering").

The Company's board of directors hereby calls for an extraordinary general

meeting to be held on 9 December 2022 at 09:00 CET in order to approve (i) a

share capital decrease by reduction of the nominal value of the Company's

shares, (ii) issuance of new shares in the Private Placement, (iii) issuance of

new shares as compensation to the underwriters of the Private Placement, and

(vi) granting an authorisation to the Company's board of directors to issue new

shares in connection with the proposed Subsequent Offering. The meeting will be

held electronically.

The notice for the extraordinary general meeting, including the board's proposed

resolutions, the notice of attendance and proxy forms, are attached to this

notice and will be made available on the Company's website www.flynorse.com.

Shareholders are encouraged to attend the meeting by casting their votes in

advance or granting a proxy to the chair of the board within 6 December 2022 at
