NOD - Registration of share capital increase

Reference is made to the announcement by Nordic Semiconductor ASA (the "Company") on 4 September 2025 regarding a successful private placement of shares ("Private Placement"), through an allocation of 7,000,000 new shares at a subscription price of NOK 150 per new share for total gross proceeds of NOK 1,050 million.

The share capital increase has now been duly registered in the Register of Business Enterprises. Following the share capital increase, the Company's share capital is NOK 1,997,816.00 divided into 199,781,600 shares, each share having a par value of NOK 0.01. Shares allocated in the Private Placement are now tradable.
