POSITIVE PROFIT ALERT

This announcement is made by NOIZ Group Limited (the "Company" and together with its subsidiaries, the "Group") pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the GEM (the "GEM Listing Rules") of The Stock Exchange of Hong Kong Limited (the "Stock Exchange") and the Inside Information Provisions (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board (the "Board") of directors (the "Director(s)") of the Company wishes to inform the shareholders of the Company (the "Shareholders") and potential investors, based on a preliminary review of the unaudited consolidated management accounts of the Group for the six months ended 30 June 2025 (the "Period") and other information currently available, the Group is expected to record a net profit of approximately HK$2 million for the Period, as compared to the net loss of approximately HK$15 million for the corresponding period of 2024.

The turnaround from loss to profit is mainly attributable to, among other factors, (i) a reduction in overall operating costs of approximately HK$7 million, reflecting the Group's ongoing efforts to enhance operational efficiency and competitiveness; (ii) a decrease in imputed interest expenses on convertible bonds by approximately HK$6 million; and (iii) a gain of approximately HK$3 million arising from the disposal of certain property, plant and equipment.

The information contained in this announcement represents only a preliminary assessment by the Board based on information currently available including the unaudited consolidated management accounts of the Group for the Period, which have not been reviewed by the audit committee of the Company. As at the date of this announcement, the Company is in the process of finalising the financial results of the Group for the Period, and such results are subject to necessary adjustments.
