CHANGE OF COMPANY SECRETARY, AUTHORISED REPRESENTATIVE AND PROCESS AGENT

The board (the ‘‘Board’’) of directors (the ‘‘Directors’’) of Merdeka Financial Group Limited (the ‘‘Company’’) wishes to announce that with effect from 20 September 2022, Ms. Hau Hei Man Sonya (‘‘Ms. Hau’’) has resigned as the company secretary of the Company (the ‘‘Company Secretary’’) and has ceased to act as one of the authorised representatives of the Company (the ‘‘Authorised Representative’’) for the purpose of Rule 5.24 of the Rules (the ‘‘GEM Listing Rules’’) Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited (the ‘‘Stock Exchange’’) and an authorised representative of the Company (the ‘‘Process Agent’’) for the purpose of accepting service of process and notices on behalf of the Company in Hong Kong pursuant to Rule 24.05(2) of the GEM Listing Rules and under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

Ms. Hau confirmed that she had no disagreement with the Board and there were no other matters in respect of her resignation that need to be brought to the attention of the shareholders of the Company and the Stock Exchange.

The Board further announces that Ms. Tsang Kwai Ping (‘‘Ms. Tsang’’) has been appointed as the Company Secretary, an Authorised Representative and a Process Agent with effect from 20 September 2022.

Ms. Tsang, aged 43, has been an executive Director and the Compliance Officer of the Company since 1 April 2019 and 1 September 2020, respectively. Ms. Tsang holds Master Degree in Corporate Governance from The Hong Kong Polytechnic University and a Bachelor Degree in Accountancy from City University of Hong Kong. Ms. Tsang is a member of both of the Hong Kong Institute of Certified Public Accountants and the Institute of Chartered Accountants in England and Wales. She is also an associate member of both of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute in the United Kingdom. She was the company secretary of DeTai New Energy Group Limited, a company listed on the Main Board of the Stock Exchange, from June 2016 to January 2022. Ms. Tsang has extensive experience in accounting, financial management and company secretarial matters.

The Board would like to take this opportunity to express its gratitude to Ms. Hau for her contributions to the Company during her tenure of office and to extend its warm welcome to Ms. Tsang on her appointment.
