Sub: Allotment of Equity Shares on exercise of Stock Options

Ref: Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements), Regulations, 2015

We wish to inform that pursuant to the Company’s ‘Employee Stock Option Scheme - 2007’ as amended, on 9[th] September 2019, the Nomination and Remuneration Committee has allotted 43,125 Equity Shares of the face value of Rs. 10/- each of the Company to a Senior Official / Designated Employee of the Company as under:

• a. 26,250 Equity Shares of the face value of Rs. 10/- each of the Company at an Exercise Price of Rs. 37.65 per share on exercise of equal number of Stock Options granted on 1[st] April 2015;

• b. 16,875 Equity Shares of the face value of Rs. 10/- each of the Company at an Exercise Price of Rs.52.85 per share on exercise of equal number of Stock Options granted on 5[th] May 2016; and

After completing the requisite corporate action formalities, as per confirmation received from RTA on 20[th] September 2019, the aforementioned shares have been credited in the demat account of the allottee on 19[th] September 2019.

The details of the Company’s Equity Share capital before and after the issue of 43,125 Equity Shares as aforesaid are given below:
