Subject: Closure of Trading Window of NOCIL Limited

As per the Securities and Exchange Board of India (Prohibition of Insider Trading) (Amendment) Regulations, 2018, (including Second Amendment Regulation dated July 25, 2019, the “Trading restriction period” shall be made applicable from the end of every quarter till 48 hours after the declaration of Financial Results.

As per the clarification issued by the Bombay Stock Exchange (BSE) vide Circular No. LIST/COMP/01/2019-20 dated April 02, 2019, and National Stock Exchange (NSE) vide Circular No. NSE/CML/2019/11 dated April 02, 2019, it is advised to all the listed companies with BSE and NSE that the Trading Window shall close not later than end of every quarter till 48 hours after the declaration of Financial Results.

In view of the aforesaid, it is hereby intimated that the trading window of NOCIL Limited (‘the Company’) would be closed from Wednesday, 01[st] July, 2020 for the designated and connected persons till the conclusion of 48 hours after the declaration of Un-Audited Standalone and Consolidated Quarterly Financial Results of the Company for the quarter ended 30[th] June, 2020, as approved by the Board of Directors.

The date of the Board meeting for consideration of such Un-Audited Financial Results will be separately informed to the Exchanges.

Further we wish to mention that in the midst of the COVID outbreak and current lockdown, the Registered office of the Company is closed where the DSC is stored and since work from home policy has been adopted, it is not possible to send the signed copy of this reply owing to the limited resources and hence SD mode of signing is used.
