Sub: Re-appointment of Ms. Dharmishta Raval as an Independent Director of NOCIL Limited (‘the Company’)

We wish to inform you that the members of the Company have approved the re-appointment of Ms. Dharmishta N. Raval (holding DIN: 02792246) as a Non-Executive Independent Director of the Company by way of postal ballot (through remote e-voting facility) for a period of four (4) years from 23[rd ] July 2020 till 22[nd] July, 2024.

Accordingly, the Scrutinizer has submitted his Report on the remote e -voting dated 09th July, 2020 for the results of the Postal Ballot which indicates that the resolution has been passed with requisite majority. In accordance with the said Report, the result of the Postal Ballot through remote e- voting was declared by the Chairman today i.e. 09th July, 2020.

A brief profile Ms. Dharmishta N. Raval is enclosed.

Ms. Dharmishta Raval is not related to any Director or Key Managerial Personnel of the Company.

We further wish to affirm that Ms. Dharmishta N. Raval is not debarred from holding the office of director by virtue of any SEBI order or any other such authority.

We wish to mention that in the midst of the COVID outbreak and current lock-down, the Registered office of the Company is closed where the DSC is stored and since work from home policy has been adopted, it is not possible to send the signed copy of this letter owing to the limited resources and hence SD mode of signing is used.

Brief Profile of Ms. Dharmishta raval

Ms. Dharmishta N. Raval is enrolled as an Advocate of the Gujarat Bar Association in 1980 and is a Partner of Raval and Raval, Advocates, Ahmedabad and is in practice as an Advocate at Gujarat High Court since May, 2003.

Ms. Raval is ex-Executive Director of Securities and Exchange Board of India (SEBI). Ms. Raval is on the Executive Committee of National Securities Depository Ltd. (NSDL), Member of Advisory Committee of SEBI – Mutual Fund and is on the Board of other reputed Public Limited Companies.

Ms. Raval does not hold any shares in the Company and is not related to any Director or Key Managerial Personnel of the Company. She was appointed as a Non-Executive – Independent Director of the Company w.e.f. 23rd July 2015 by the shareholders’ approval.

Pursuant to the Companies (Appointment and Qualification of Directors), Rules, 2014 and the amendments made thereto from time to time, Ms. Raval has also registered herself in the Data Bank maintained by the Indian Institute of Corporate Affairs for a period of five years and has paid the fees accordingly.

Having regard to her qualifications, knowledge and vast experience, her re-appointment on the Board of the Company as an Independent Director will be in the interest of the Company.
