2 Pursuant to the Scheme of Amalgamatlon of Suremi Trading Private Llmibd and Sushripada lnvastnenb Private Limited (Promoter Entitie)with tre Company (he Sctreme), the Company had filed an application boforethe NationalCompany LawTribunal, Mumbai(NCLT)which approved the Schemevide its orderdated March 3,2b21. lntermsof the said Schems, 2,'15,99,859 squity shares and 95,17,830 equity shares in NOCIL held by Suremi Trading Private Limited and Sushripada lnv\$tments Prlvate Limited respectivelywerecancelled and instoad, th€ Company issued 3,11,17,689€quitysharostotheshareholders of the PromoterEntitieson March 30,2021.

Further, asthe appointed date as persaid orderofNCLTwas October 1,2020, the business done by promoterBntltiesduring the period October 1,2020, and March 31,2021,

have been merged with the Company. The net profit arising out of these trangactions amounting to t. 7 lakhs has been disclosed undor Other lncome. ³The Company's operations were impacted during the first quarter of tha cunentfinancialyeardue to shutdown of its plants following the nationwide lockdown imposed bytho Government of lndia durlng the firct wave of COVID-l9 pandemic. The Company's plants have sinc6 resumed operations, taking all due care forthe health and safety of its employees and adopting workfrom home policywhereverpossible.

The Company thereafter, has evaluated the impact of this pandemic on its business operations, financial position and based on its review of cunent lndicators, thoro i8 no significant impact on the Company's assets, capitaland fnancial resourc6s, liquidity positlon, supply chain ordemand for its products forthe yearended March 31, 202.1. The profitabilityfortheyearwas impacted during thefirstquarterof thefinancialyearduetosuboptimalop€rations on accountof the lockdown.

However, the impact assessment of COVID-19 is a continuous process, given the uncertainties associated with its nature and duration. 1. उपरोक्त लेखापरिक्षित निष्कर्ष, ज्याचा लेखापरिक्षण समितीद्वारा आढावा घेतला तसेच संचालक मंडळाद्वारा २७ मे, २०२१ रोजी झालेल्या त्यांच्या बैठकीत विचार केला गेला, मान्यता दिली आणि रेकॉर्डवर घेतले.

2. कंपनीकडे सुरेमी ट्रेडिंग प्रायव्हेट लिमिटेड आणि सुश्रीपाडा इन्वेस्टमेंट प्रायव्हेट लिमिटेड (प्रमोटर संस्था) एकत्रित करण्याच्या योजनेच्या अनुषंगाने नॅशनल कंपनी लॉ ट्रिब्यूनल, मुंबई (एनसीएलटी) कडे या योजनेला ३ मार्च २०२१ दिली होती. त्यांच्या आदेश या योजनेनुसार सुरेमी ट्रेडिंग प्रायव्हेट लिमिटेड प्रायक्टेट लिमिटेड यांच्याकडे असलेल्या नोसिल अनुक्रमे २,१५,९९,८५९ इक्विटी शेअर्स आणि ९५,१७,८३० इक्विटी शेअर्स रद्द करण्यात आले आणि त्याऐवजी कंपनीने प्रवर्तक संस्थाच्या भागधारकांना ३,११,१७,६८९ इक्विटी समभाग ३० मार्च २०२१ रोजी जारी केले. पुढे एनसीएलटीच्या आदेशानुसार नियुक्त तारीख १ऑक्टोबर, २०२० रोजी प्रमोटर संस्थांकडून १ ऑक्टोबर, २०२० आणि ३१, मार्च २०२१ या कालावधीत केलेला व्यवसाय कंपनीमध्ये विलीन झाला आहे. या व्यवहारांमधून उध्दभवलेला निव्वळ नफा रु. ७ लाखांचा खुलासा इतर उत्पन्नात करण्यात आला आहे.

3. कोविड–१९ (साथीचा रोग) सर्व देशभर (साथीचा रोगाच्या) पहिल्या लाटी दरम्यान भारत सरकारने लादलेल्या रेलंडाऊन नंतर कंपनीचे प्रकल्प बंद झाल्याने चालू आर्थिक वर्षाच्या पहिल्या तिमाहीत कंपनीच्या कामकानावर परिणाम झाला. कंपनीच्या प्रकल्पांनी कामकाज पुन्हा सुरु केले आहे, ज्यामुळे कर्मचाऱ्यांच्या आरोग्याची आणि सुरक्षेची सर्व काळजी घेतली जाते आणि शक्य असेल तेथे गृह धोरणातून काम स्वीकारले जाईल.

त्यानंतर कंपनीने आपल्या व्यापारावर, आर्थिक स्थितीवर या साथीच्या आजाराच्या परिणामाचे मूल्यांकन केले आणि संघाल भाषा कंपनीच्या मालमता, भांडवल आणि आर्थिक संसाधने, तरलता स्थिती, पुरवठा साखळी किंवा मागणीवर ३१ मार्च, २०२१ रोजी संपलेल्या वर्षाच्या उत्पादन नफ्यावर कोणताही विशेष परिणाम झाला नाही. लॉकडाऊनच्या कारणास्तव उप इष्टतम ऑपरेशन्समुळे आर्थिक वर्षाच्या पहिल्या तिमाहीत नफ्यावर परिणाम झाला होता. तथापि, कोविड-१९ चे प्रभाव मूल्यांकन एक निरतंर प्रक्रिया आहे, ही प्रक्रिया आणि कालावधीशी संबंधित अनिश्चितता लक्षात घेता वेळोवेळी उध्दभवू शकणाऱ्या विविध व्यावसायिक मापदंडांवर आर्थिक परिणाम अवलंबून असतात आणि कंपनी या आर्थिक निकालांच्या अंमलबजावणीच्या तारखेच्या अंदाजानुसार केलेल्या कोणत्याही भौतिक बदलांवर बारकाईने नजर ठेवत आहे.
