Pursuant to provisions of Reg. 30 and 33 of SEBI (Listing Obligations and Disclosure Requirements), Regulations 2015, with Schedule III of the said Regulations, it is hereby informed you that the meeting of the Board of Director of NITIRAJ ENGINEERS LIMITED was held today i.e. Wednesday, December 15[th] , 2021 at 5.30 p.m. and concluded at 6.15 p.m. at the Registered Office of the Company, has inter alia, considered, and approved the following business;

1. The Board has considered and approved appointment of Mr. Deepam Pradeep Shah, Mr. Pranit Anil Bangad and Mr. Avinash Chandsarkar as Independent Directors of the Company. Details are as follows:

• Reason for change: Due to tenure of old Independent Directors is due, which was completed as on 01[st] December, 2021 and company has intimated them regarding the same. The company has asked them to resign and the same were kept in this meeting and there was vacation of office w.e.f. 1[st] December, 2021 and fresh 3 Independent Directors were appointed on board as under

• Date of appointment & term of appointment: 15[th] December, 2021 & for 5 years.

• Brief profile:

Mr. Deepam Shah has completed his MBA in Marketing from Pune University and also holds a degree in Hotel Management. Deepam has an experience of 10 years in Hotel operations and Service industry. He is currently partner in M/s Hotel Ganapati Palace, Dhule. He is also engaged in various social activities in Dhule and has held posts as a President, Rotaract Club of Dhulia and Vice President in KDO Yuva Mandal. With his experience, he is expected

to provide valuable inputs to the company. He does not hold any Equity Shares in our Company.

Mr. Pranit Bangad has done B.E in Computer Engineering from North Maharashtra University and has experience over 08 years in the field Manufacturing of Air Coolers. He also own retail furniture Showroom. He is also engaged in social activities and holding various post like President at Dhule Zilla Maheshwari Yuva Sanghatan and Secretary at Rotaract Club of Dhulia. With his experience in manufacturing, he is expected to contribute to the production planning and other manufacturing activities of our company. He does not hold any Equity Shares in our Company.

Mr. Avinash Chandsarkar has done D.M.E. Mech. He is and associate level member of Indian Institute of Insurance Surveyors & loss Assessors. He is also working as a full time Independent Surveyor, Loss Assessors, Valuer for various insurance organization, financer, banks etc. He is also engaged in social activities. He does not hold any Equity Shares in our Company.

The person appointed has not been debarred from appointment as a director.

2. The Board has considered and approved Resignation of Mr. Anil Nandkishor Bangad, Mr. Shabbir Sadruddin Masani, and Mr. Pradeep Chandrakant Shah from the post of Independent Director after completion of their terms. Details are as follows:

• Reason for change: Due to tenure of old Independent Directors is due, which was completed as on 01[st] December, 2021 and company has intimated them regarding the same. The company has asked them to resign and the same were kept in this meeting and there was vacation of office w.e.f. 1[st] December, 2021 and fresh 3 Independent Directors were appointed on board as under
